Welcome to Privilee
These terms and conditions (“Terms”) are a contract between you and Privilee Pte Ltd (“Privilee”, “us” or “we”), and govern your access and use of any Privilee website (“Website”), the Privilee App (“App”), or the Privilee Plan, Privilee Pass, or Privilee Membership (“Membership”) including any products, activities, experiences, events or services made available through the Membership (collectively, “Services”). Please read these Terms carefully.
1. Acceptance of Terms

By installing, accessing and / or using our App, Website or Services, you agree to these Terms. If you do not agree with these Terms, you must stop using our App, Website and Services.

These Terms constitute the entire agreement between you and Privilee concerning the App, Website and Services. Furthermore, these Terms supersedes any prior discussions, negotiations and agreements.

In addition to these Terms, when using our Services you agree to follow the terms and conditions imposed by our Partners. If there is a conflict between these Terms and our Partner’s terms and conditions, these Terms shall apply.

These Terms may be updated as necessary or whenever required to support any development in the App, Website or Services, and to comply with applicable laws. If you continue to use the App, Website and Services after these Terms have been updated, you agree to have accepted the revised Terms. If you do not agree with the revised Terms, you must stop using the App, Website and Services.

The rights and obligations imposed in these Terms shall apply to the extent permitted by applicable law. For the avoidance of doubt, these Terms shall not exclude or limit any statutory consumer rights or warranties which cannot lawfully be excluded or restricted by contracts. These Terms do not prevent us from complying with applicable laws of Singapore.

If any provision of these Terms is void, unenforceable or illegal, it is severed from these Terms. The remaining provisions of these Terms shall continue with full validity and enforceability.

You may not assign or novate your rights or obligations under these Terms without prior written consent from us. We may assign our rights or obligations and any related information we hold about you, to another entity as part of a sale, merger, acquisition, or restructure, or to one of our affiliated or successor entities.

If we delay or choose not to enforce a right under these Terms, we can still enforce it later.

Any waiver of our rights under these Terms must be in writing and signed by Privilee.
2. Availability of the App, Website and Services

The App, Website and Services are provided by Privilee on an “as is” or “as available” basis. By using the App, Website and Services, you acknowledge and agree that it is at your sole risk and responsibility.

Privilee uses reasonable efforts to ensure that the information made available on the App and Website is kept up to date and that the App, Website and Services operate as intended. However, Privilee does not warrant that the App, Website or Services will be suitable for any particular purpose, compatible with all systems, secure, continuously available, uninterrupted, or free from errors or defects.

We reserve the right to modify, suspend, or discontinue any part of the App, Website or Services at any time at our discretion and without notice.

Your Membership does not guarantee access to any particular Venue, service, or facility at any given time. Access is subject to availability on a first-come, first-served basis.
3. Use of the App, Website and Services

To use our App, Website and Services you are required to have access to the internet and a device. Furthermore, you are required to download the App. You are solely responsible for providing your own access.

To authenticate your use of the App, Website or Services, we or our third party providers may need to send you codes by text messages, email or phone calls. You consent to receiving these.
-
By creating an account, you agree that Privilee may contact you by text messages, email or phone call to any of the information provided by you, or through the App with updates, notices, or marketing etc.

You may opt out of marketing at any time via the unsubscribe link or by contacting us.
4. Privilee Membership

The Membership provides access to a variety of facilities, activities etc. operated by third parties (“Venues”). Privilee does not own, manage, or control these Venues or the services they provide. Some Venues may require a minimum spend and / or entry fee in order to access with your Membership.

We provide different types of Memberships, including subscription, non-subscription, corporate, and promotional plans. Each plan may include different products, activities, or services and may be subject to specific conditions, pricing, policies, and limitations.

The membership is valid for the duration you sign up for, unless early termination or suspension.

With a 12-month subscription plan, you agree to automatically renew your membership on the same terms as you initially signed up to, unless you terminate your Membership or get suspended by Privilee before the renewal date.

The terms governing the sign-up, auto-renewal, transfer, and termination of Memberships under a corporate plan are set out in the agreement between the corporate entity and Privilee (the “Corporate Membership Agreement”). In the event of any conflict, the terms of the Corporate Membership Agreement shall supersede the provisions in these Terms relating to auto-renewal, transfer, termination of Memberships, fees, billing, and payment.

The facilities in any of the Venues are only for Members aged 18 or above holding their own Membership. Children, see provision 4.2, and guests, see provision 4.3, may be added under certain Membership plans.
4.1 Signing up for a Membership

In order to purchase a Membership, and become a Privilee member (“Member”) you are required to sign up via the App or Website, and provide all required information. The required information you must provide includes but is not limited to:

A valid email, phone number and address that belongs to the Member signing up.

A clear profile picture of your face to your account. It is not allowed to cover your face, including wearing sunglasses, hats etc. or any other face clothing.

If any of the information changes, you must update the information via the App or Website.

By signing up you agree, that the provided information is accurate, current, complete, and not misleading. This applies to the provided information about the Member, guests and children.
-
When signing up you are required to create a password to your Privilee account. You are solely responsible for all activity that occurs under your account, including any activity by unauthorized users.

Your Membership shall commence on the date Privilee receives your completed sign-up, or the reactivation of a previously cancelled Membership, and after receiving payment of the applicable Membership fee.
4.2 Children

If you want to bring your own children under the age of 18, you need to choose an eligible Membership. You are required to register your children’s details under your account. We have the right to require documentation to verify that the children in the App are under your legal guardianship.

Children can only be brought to selected Venues for a maximum of three children per family, depending on the child access policy for the Venues. Some Venues may require payment for the third child. For families with more than three children, day passes are available to purchase at selected Venues. It is your sole responsibility to look at the Venues child policy.

You are only allowed to bring the children that are registered on your profile in the App.

Children must be accompanied by a parent holding a Membership to access the Venues. The Membership holder must accompany their children at all times when visiting the Venues, and you must not leave the Venue without the children, not even if they are in a kids’ club.

Children are not allowed to access any of the fitness facilities, e.g., fitness centres, studios, gym facilities at hotels, and beach clubs under your Membership, The fitness facilities can only be accessed by the Membership holder.

Children shall be checked in and checked out according to provision 4.4.

Helpers may accompany children, but must present a valid Singaporean ID on request. Failure to do so may result in denied entry. Helpers are not eligible to use the facilities at the Venues.
4.3 Guest pass

Some Memberships may offer you the option to purchase guest passes for your guest(s). The guests must provide the details required to sign up for a Membership.

Guest passes are only valid on weekdays. Therefore, they can not be used on weekends and public holidays in Singapore.

The rights and obligations in these Terms apply to guests. You are responsible for bringing these Terms to the attention of your guest(s). When signing up a guest you agree that they have acknowledged to adhere to these Terms.

You are liable for the actions of your guest(s), when they use our Services in accordance with these Terms. In addition to your liability for the conduct of your guest(s) while using our Services, each guest shall be personally liable for their own actions under these Terms.
4.4 Using your Membership

To access our Venues with your Membership, you are required to present your Digital Membership Card, and check in and out with the Privilee Registration System or via the App at each Venue. If you bring your children, we require you to check them in and out with the Privilee Registration System or via the App at each Venue.

Privilee reserve the right to charge a fee if you fail to check in upon arrival or fail to check out when leaving a Venue.

To redeem discounts, you must present your Digital Membership Card, and have the discount validated by Venue staff either manually or via the App.
-
You must behave respectfully and appropriately at all times and comply with the rules and regulations of each Venue.
-
If a Venue requires a minimum spend or entry fee, you are responsible for paying this.
-
If you have previously held a direct membership with a Venue, Privilee may restrict your access to that Venue for a limited period after your prior membership has ended.
-
You must only use one device per Membership.
-
Any breach of the above conditions may result in immediate suspension or termination of your Membership without refund.
4.5 Terminating your Membership

Members with a subscription plan with monthly payments may terminate their Membership at any time by sending a request to hello@privilee.sg. The termination of the Membership will be effective from the date we provide a written confirmation.

Termination of your subscription plan with monthly payments within your commitment period (the period of months you bought) requires an early-termination fee corresponding to two months Membership fee.

Members with a subscription plan with installments are committing to the period they choose when signing up. If you want to terminate your subscription before the end of the commitment period, you still must pay the remaining payments, and you will not be given a refund.

No refunds of the Membership fee shall be made upon termination of your Membership.

Privilee reserves the right to terminate your Membership immediately and without notice if you:

Fail to pay the Membership fee prior to using the Services, if any such payment is subsequently voided.
-
Breach any obligation under these Terms or our Code of Conduct.

If you terminate your subscription or if your subscription is terminated by Privilee for any reason, Privilee is entitled to terminate your access to the App, Services, and all features and products provided under the Membership.

It is not possible to pause your Membership. However, in the event of serious health conditions that prevent you from using your Membership for a period of up to two months, you may request a temporary suspension by submitting a written request to hello@privilee.sg together with official supporting documentation. Such requests will be reviewed and considered on a case-by-case basis.
4.6 Transfer of Membership

A Member (“Transferor”) holding a 12-months prepaid subscription (excluding the installment subscription plans) may transfer their Membership to another individual (“Transferee”) at any time within the 12 month period by submitting a written request to hello@privilee.sg with the required Member details of the Transferee.

The Transferor is required to pay a transfer fee equal to one month’s Membership fee.

Privilee will, within approximately five business days of receiving the Transferor’s request, create an account for the Transferee.
-
The Transferor’s Membership shall be terminated on the date the Transferee’s Membership commences. And the Transferee’s Membership shall expire on the same date the Transferor’s Membership was originally due to expire.
4.6.1 Memberships with two Members
Until further notice, it is not possible to transfer a Membership, if it is linked to another Membership. This occurs when two Memberships are purchased together.
4.7 Class bookings
We offer complimentary classes at Venues. If you would like to book more classes, you can buy extra classes at selected Venues through our App.
4.7.1 No-show & late cancellations

The permitted cancellation period for each class booking is specified at the time of booking, and may vary depending on the Venue, activity etc. It is your sole responsibility to check the applicable cancellation terms.

Complimentary classes.
-
If you do not show up or cancel late (based on the Venue policy), a fee will be charged. The amount payable will be shown upon booking.
-
If the fee is not paid, Privilee reserves the right to restrict or block the Member’s ability to make future bookings until any applicable no-show or late cancellation fees are paid.

Extra classes.
-
The fee for the extra class is shown in the App at the time of booking.
-
If you cancel your extra class booking within the cancellation period, the fee will be refunded.
-
If you do not show up or cancel late (based on the Venue policy), a refund will not be provided.
-
Complimentary class bookings and extra class bookings are treated separately. If you cancel your complimentary class booking, you will not get your extra class fee refunded. In this case, your complimentary class gets refunded.

Repeated no-shows or late cancellations may result in suspension or termination of the Membership with no refund.

Privilee shall inform the Member of any no-shows or late cancellations, including details of any applicable fees or restrictions imposed.
5. Disclaimers
-
Unless expressly confirmed by Privilee in writing, all information about our Services is subject to change without notice and does not constitute a warranty, representation, or commitment.
-
To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for purpose, title, non-infringement, or freedom from errors, viruses, or other harmful code. While we use reasonable efforts to keep the App and Website secure and operational, we do not guarantee uninterrupted access, error-free performance, or continuous availability. You remain responsible for protecting your own devices and personal data.

We accept no liability for interruptions, errors, or non-availability of the App, Website or Services. Where performance is prevented by events of Force Majeure (including but not limited to labour disputes, strikes, inability to obtain labour or materials, fire, natural events, accidents, power or telecommunications failures, customs delays, governmental restrictions or appropriations, or other causes beyond our reasonable control), we shall be relieved of our obligations to the extent affected.
6. Fees, Billing & Payments

All fees must be paid in Singapore Dollar (“SGD”) by debit or credit card. Corporate Memberships may be paid via bank transfer according to separate agreement between the corporate entity and Privilee.

Fees for prepaid non-subscription and subscription plans must be paid in full upfront. Fees for monthly subscription plans must be paid in monthly payments. Fees for installment plans must be paid in monthly payments until the full fee has been paid.

The Membership fee must be paid at the time of sign up or renewal, and always in advance of using the Services. Membership fees remain payable until your Membership is validly terminated, regardless of whether you use the Services.

The credit or debit card used for your initial payment will be securely stored with our payment processor for the duration of your Membership. If payment from your default card fails, we may attempt payment using any previously registered card.

Members are required to maintain a valid, active, and non-expired credit card on file for the duration of their Membership. Payment details may be edited via the App, or by contacting Privilee. Failure to do so will result in suspension of access until valid payment details are provided.

The cardholder shall remain responsible for all applicable fees and charges throughout the duration of the Membership.
-
The description of any Membership, including the Membership fee, shall be confirmed in Privilee’s invoice and / or dispatch note at the time of payment, which shall serve as conclusive evidence of the amount payable.

We retain the right to adjust pricing at any time, including adding a joining or re-activation fee. Unless otherwise specified, any price adjustment will take effect from your next billing cycle after notice has been provided through the App, Website, email, WhatsApp, phone, or any other means. If you do not terminate your Membership following such notice, you will be deemed to have accepted the adjusted fees.

Any increase in VAT, sales tax, or other indirect taxes introduced or amended under applicable law will be added to your Membership fees and collected by us.

If we are unable to collect payment for any reason, including card expiration or insufficient funds:

We will notify you in writing of any outstanding debt.
-
Your access to the Services will be suspended until all outstanding amounts have been paid.
-
You will remain liable for all uncollected amounts, and we may reattempt collection using an updated or alternative payment methods you provide.
-
If the debt remains unpaid, we may initiate formal debt collection proceedings, including the filing of a payment demand before the competent Payment Order Judge.
-
We reserve the right to charge late payment fees for overdue amounts.

7. Promotions & Offers
-
By participating in any promotions, you agree to be bound by these Terms and any specific promotional conditions. Privilee shall be entitled to amend, extend, suspend, or withdraw any promotions at any time without prior notice.

Privilee is not responsible for prices, products, or services offered by third parties in connection with any promotions.
8. Prohibited Conduct
Without limiting the prohibitions and restrictions specified elsewhere in these Terms, as a Member you agree to not do the following. Any breach of this provision (8) may result in the immediate termination of your Membership without refund.

Allow any other person to use your Membership or access Venues under your account.
-
Harass, abuse, or threaten other Members, staff, or otherwise create an unsafe, hostile, or disruptive environment. Act fraudulently or deceptively, including impersonating another person, or maintaining more than one account.
-
Fail to upload a clear profile photo of your face to your account (photos obscured by sunglasses, hats, or face coverings are not permitted).
-
Bring guests into Venues without paying the applicable guest fee or without consent from the Venue.
-
Disrupt or interfere with the use and enjoyment of Venues by others.
-
Engage in political or religious discussions or activities that cause disputes, arguments, or disturbances at any Venue.
-
Remove, misuse, or take Venue property (including but not limited to towels, robes, or fitness equipment).
-
Remove, damage, disable, or otherwise interfere with the security features of the App or Website, or with features that prevent unauthorized use, access, or copying of content. Use the App or Website for any unlawful purpose or any purpose prohibited by these Terms.

Breach or disregard Venue or Privilee rules, including but not limited to dress codes, entry requirements, or access restrictions.
-
Leave a Venue without settling all outstanding bills, tabs, or credits due.
-
Enter Venues by any means other than the designated entry points and without proper check-in.
-
Send unsolicited offers, advertisements, proposals, or “spam” to other members or Venues.
-
Act in any manner that they damage or bring the Privilee brand into disrepute. Or publish or share negative, defamatory, or harmful comments about Privilee or its Partners (including through online reviews). Defamatory or unlawful comments may give rise to legal liability under Singapore Law. Complaints or negative feedback must instead be submitted directly to Privilee at hello@privilee.sg.
9. Unauthorized or unlawful use

Under no circumstances shall you copy, reproduce, distribute, or attempt to obtain the App, Website, Digital Membership Card, or Services by fraudulent or unauthorized means, nor assist others in doing so.

You may not use, reproduce, publish, or exploit any content from the App or Website except as expressly permitted under these Terms.

You must not use the App or Website in any way that harms Privilee, other Members, or the public, including but not limited to:
-
Reverse engineering, decompling, or extracting software code.
-
Infringing intellectual property rights.
-
Transmitting viruses, malware, or harmful code.
-
Creating accounts by automated means.
-
Interfering with the performance or security of the App or Website.
-
Selling, renting, or commercially exploiting the App, Website, or Services.
-
Creating a new account after suspension or termination for breach for these Terms.
-

Privilee may disclose your identity to law enforcement where required by applicable law.
10. Ownership & Content Rights

The App, Website, and all related content, text, information, graphics, visual interfaces, design, images, audio, video, software, data compilations, page layout, underlying code and software and all other material, elements and data (“Content”) are owned and operated by Privilee and protected by intellectual property laws.

All intellectual property rights, including domains, logos, copyrights, and trademarks, are owned by Privilee, its affiliates, licensees, or third parties. You may use such rights only as expressly permitted under these Terms.

Privilee grants you a limited, non-exclusive, revocable license to use the Content for personal, non-commercial purposes during your Membership, subject to compliance with these Terms.

Names, images, and logos identifying Privilee or third parties remain their property. Nothing in these Terms grants you any license or right to use them.

Privilee may amend, edit, or remove any Content from the App or Website at its sole discretion.
11. Third Party Content

The App and Website may include or link to content provided by third parties (“Third Party Content”), whether free of charge, restricted to Members, or offered for a fee.

Any copying, distribution, reproduction, retransmission, or modification of Third Party Content requires prior written consent from the relevant author or publisher.

Privilee is not liable for any losses caused by reliance on Third Party Content. We do not control, endorse, or guarantee the opinions, information, products, or services contained within it, and make no representation as to its accuracy, legality, or completeness. Third Party Content does not reflect Privilee’s views.

Downloading certain Third Party Content may involve Privilee sharing personal data provided at registration with the third party author. If you choose to download such content, you agree to this data sharing in accordance with our Privacy Policy. If you do not agree, you must not download the Third Party Content.
12. Liability

Privilee shall not be liable for any injury, damage, or loss arising from events beyond its reasonable control.

To the fullest extent permitted by law, Privilee shall have no liability to you arising from your use of the App, Website, or Services in respect of:

Any business-related losses, including loss of profit, income, revenue, anticipated savings, contracts, goodwill, or commercial opportunities.

Loss of, or damage to, data, databases, or software.
-
Any indirect, incidental, or consequential loss of damage, including real or personal property.
-
Losses incurred by third parties.
-
Bodily injury or death of any person.
-

Nothing excludes or limits liability for death or personal injury caused by our negligence, or where liability cannot be excluded under Singapore law.
13. Privacy
Your personal data is collected in line with our Privacy Policy.
14. Governing Law & Jurisdiction
Any dispute (including non-contractual obligations) arising out of or in connection with contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (the “Rules”), which Rules are deemed to be incorporated by reference to this Clause.
The number of arbitrators shall be one. The arbitrators shall be agreed between the Member and Privilee, or in default of agreement, appointed by the President of the SIAC.
The seat, or legal place, of arbitration shall be Singapore.
The place of the arbitration shall be Singapore.
The language to be used in the arbitral proceedings shall be English.
The governing law of the contract shall be the substantive law of Singapore.
15. Contact us
The App, Website and Services are provided by Privilee. Privilee is registered in Singapore, with commercial registration UEN 202543420M.
